This program will address two types of reasoned opinions: true sale opinions and non-consolidation opinions.
The panel will discuss a number of hypothetical fact situations in order to teach attendees practical tips that they can immediately incorporate into their own practice.
Part I: Description of the substantive law on which true sale and non-consolidation opinions are based, including recent developments.
Part II: Discussion of how true sale and non-consolidation opinions may or may not be rendered under various hypothetical transaction structures.
Specific Topics Include:
- true sale and non-consolidation opinions;
- the considerations involved in rendering or accepting such opinions;
- transactions in which they are appropriate;
- issues that law firms face when giving or receiving such opinions;
- using opinion language, factual certificates, due diligence and language for special purpose entity organizational documents to address various transactional structures.
