Most business litigators must, at some point, handle a dispute involving shareholders in a closely-held corporation. Most business lawyers must, at some point, advise clients on the formation of closely-held corporations. How business lawyers create those corporations affects the strategies that are available to trial lawyers when a dispute arises. How trial lawyers litigate these disputes should inform business lawyers in advising their corporate clients before and after a shareholder dispute arises.
This program is intended to provide tips for both business and trial lawyers who expect either to advise close corporations or their shareholders or to litigate their disputes.
Topics will include:
- The duties owed among shareholders and to the corporation
- Statutory formalities imposed by the Business Corporations Law, and planning, from the corporate lawyer's perspective, to avoid a dispute among shareholders or between shareholders and the corporation; parallel considerations under the Limited Liability Companies Act
- Litigation issues: direct vs. derivative issues, rights to obtain documents/shareholder lists, discovery considerations, litigation committees, and statute of limitations
- Remedies that may be available and those that may not be available
- Whom should you represent and whom should you not represent and conflict of interest issues
