A multi-office Bingham team, featuring several Boston lawyers, represented
Old Mutual Asset Management (OMAM), the U.S.-based global asset management
business of Old Mutual plc, and its subsidiary Old Mutual Capital, Inc. (OMCAP)
in an agreement to sell selected assets of OMAM's U.S. mutual fund business to
Touchstone Advisors, Inc., a wholly owned subsidiary of Western & Southern
Financial Group. The acquisition will increase Touchstone's assets under
management to nearly $10 billion and add several new sub-advisors to its current
roster of fund managers. Upon completion of the transaction, 17 Old Mutual
funds will be reorganized into Touchstone mutual funds with OMAM's affiliated
investment managers continuing as sub-advisors to a significant majority of
those funds. The Bingham team, led by New York partner Floyd Wittlin, included
Boston partner Newt Davis and Boston counsel Gitte Blanchet, who worked on the
corporate and M&A aspects of the transaction; Boston partner Matthew Schnall
and Boston associate Jason Traue, who worked on the tax aspects of the
transaction, and Boston partner Lea Anne Copenhefer and Washington, D.C. partner
Josh Sterling, who worked on the investment management aspects of the
transaction.
