Please join us for a special reception with Assistant Attorney General Quentin Palfrey, head of the Massachusetts Attorney General’s new Healthcare Division.  Mr. Palfrey will describe the new Healthcare Division’s mission and some of his office’s priority public policy concerns for the coming year.  Mr. Palfrey joined the Massachusetts Attorney General's Office as a member of the Insurance Division in April 2005 and was appointed head of the new Healthcare Division in January 2007.  A reception will follow the program.

This program offers a unique opportunity to engage in dialogue with policy makers and representatives of the legal profession involved in environmental issues in New England. This regional seminar has been planned by local state bar representatives, EPA regional lawyers, and state government representatives. Special emphasis is placed on program initiatives and priorities both in Region 1 and in the six states as presented by EPA Regional Administrator Robert Varney, Massachusetts Secretary of Energy and Environmental Affairs Ian Bowles and the Commissioners of the six New England state environmental agencies. The program includes a keynote address from EPA Acting General Counsel Roger Martella.

This seminar will point out some of the ethical concerns associated with inadvertent release of metadata and privileged material through the use of e-mail, blogs and websites. The seminar will also look at some of the ethical issues raised by electronic "advertising" and highlight the pending rule proposals in New York aimed at computer accessed information.

discuss the treatment of stock options and other stock-related compensation techniques under the final 409A regulations.  The final regulations change the rules on valuation of stock (including the start-up corporation safe harbor); the definition of service-provider stock; option grants for stock of corporations related to the employer; and extensions, assumptions and modifications of stock options.  The program will also discuss "problem" stock options and the transition rules for the balance of 2007.

Don't Mess Around with the Collateral: A Cautionary Tale
Bruce Falby, a partner at DLA Piper US LLP will present on a recent case decided by Judge Young, Blue Hills Office Park LLC v. JP Morgan Bank as Trustee, et al. This is the first reported decision in the nation enforcing so-called "bad boy" carve-outs in a nonrecourse securitized loan. The borrower's undisclosed and unconsented-to transfer of the $2 million settlement proceeds of a zoning appeal led to a $17.5 million full recourse judgment against the borrower and its individual guarantors, not merely restitution of the $2 million. For this, and other reasons that Bruce will discuss, the case provides a cautionary tale for borrowers and their counsel tempted to take aggressive positions with collateral assuming that if challenged they will be able to negotiate a work out and escape the day of judgment.
