Rick Pedone, Partner in the Financial Restructuring & Bankruptcy group at Nixon Peabody LLP, will discuss the impact of bankruptcy on lease administration and how to counsel a client through it.  He will focus on the impact of tenant bankruptcy on the property lessor, but will also briefly touch upon the rare and not-so-rare occasions of, respectively, landlord and contractor bankruptcy filings.

SEC Enforcement Priorities & Recent Developments
R. Daniel O’Connor, Counsel, Ropes & Gray LLP, and recently departed senior staffer at the SEC's Boston office, will discuss the SEC's initiatives and priorities affecting public companies. The discussion will also cover recent developments in SEC enforcement actions and private litigation that affect financial and management reporting at public companies. Mr. O'Connor recently completed four years as a Senior Trial Counsel in the SEC’s Division of Enforcement in Boston.  He is returning to Ropes & Gray LLP where he is a counsel in the firm’s Securities Litigation and SEC Enforcement, and White Collar and Government Enforcement practice groups.  At the SEC, Dan handled prosecutions and investigations of corporate entities and individuals for civil and criminal violations of federal securities laws.

SJC's Ruling in Hanover: Tips on Joint Defense Agreements & the Common Interest Doctrine
Steven J. Torres
Laurence A. Schoen and Steven J. Torres of Mintz, Levin, Cohn, Ferris, Glovsky and Popeo P.C. will discuss best practices for entering and operating within joint defense arrangements. Both Larry and Steve represented a party to the joint defense agreement at issue in the Hanover case and will cover guidance the Court provided while touching upon the current state of the law in other jurisdictions concerning joint defense arrangements. In the case of Hanover Insurance Co. v. Rapo & Jepsen Insurance Services, the Supreme Judicial Court formally recognized what many attorneys believed already existed under Massachusetts Law: that the common interest doctrine allows for the sharing of attorney-client communications and attorney work product between parties who share a common legal interest.

This paper, prepared by the Arbitration Committee of the American Bar Association Dispute Resolution Section, will provide guidance for an Arbitrator to avoid his or her award being attacked for an alleged failure to disclose and is in the process of being circulated to the national and international ADR Community for comment.

The Biolab Case and MEPA: Supreme Judicial Court's Decision in Allen v. BRA
Douglas H. Wilkins
Douglas H. Wilkins of Anderson & Kreiger LLP, counsel for the plaintiffs in the case, and Ronald W. Ruth and David A. Brown of Sherin and Lodgen LLP, who filed an amicus brief in the case on behalf of the Massachusetts Chapter of the National Association of Industrial and Office Properties, will provide their perspectives on the SJC's opinion in Allen v. BRA and discuss its implications for future MEPA administration and litigation. This case over turned the Secretary of Environmental Affairs certificate on an environmental impact report for the Biolab development in South Boston.
