Endowments in the Current Market: UPMIFA and FSP FAS 117-1
The current market presents numerous legal and accounting challenges for non-profit organizations. A significant development is the recent introduction in Massachusetts of the Uniform Prudent Management of Institutional Funds Act (UPMIFA), which, if enacted, would permit organizations to spend a portion of an endowment fund's value, despite the presence of an overall negative return. Jack Clarke, Massachusetts Audubon Society, Robert E. Cowden III, Casner & Edwards LLP, and John Sannella, Kirkland Albrecht & Fredrickson, LLC, will address the current state of affairs on UPMIFA as well as FAS 117-1, the staff position issued by the Financial Accounting Standards Board that addresses the net asset classification of funds subject to UPMIFA and provides new disclosure requirements for all non-profits with endowment funds. |

Section 457A imposes substantial restrictions on the use of deferred compensation arrangements by foreign entities and other “tax indifferent entities,” including U.S. partnerships with significant foreign or other “tax indifferent” partners. |

Last year, a few chapter 11 professionals from some of the firms in Boston met to discuss the development and future of our practices. In that meeting, we realized that there did not exist within the BBA or otherwise an organized group focused primarily on chapter 11 practice. Christopher Panos and Doug Rosner have been starting the process of forming one. In that regard, we invite chapter 11 professionals to an open meeting to discuss the formation of such a group. The agenda will be to discuss generally the challenges facing our profession and ways we can work together to meet them. We will also form a core working group to identify issues facing chapter 11 practitioners and make recommendations to address those issues where possible. |
