Living in the Zone of Insolvency: Legal Dilemmas for Directors in Uncertain Times

Please join Gregory S. Fryer, Verrill Dana LLP, and Joseph J. Basile, Weil, Gotshal & Manges LLP at this brown bag lunch to discuss legal uncertainties facing directors of troubled companies. Current economic circumstances have undermined the balance sheets of many formerly profitable companies. Delaware courts, federal bankruptcy courts, and courts from other jurisdictions have generated a complex mix of case law on legal standards for imposing liability for director conduct or inaction. Mr. Fryer and Mr. Basile will discuss the conflicting case law from the standpoint of corporate lawyers and bankruptcy lawyers, respectively. Much of the case law deals with public companies that have largely independent boards of directors. Mr. Fryer and Mr. Basile will also discuss implications for directors of start-up ventures and PE-backed entities, which typically have few if any independent directors. |

FERPA, New and Improved!
Steven J. McDonald, General Counsel, Rhode Island School of Design, will join us for a presentation on the US Department of Education's December 9, 2008's much-anticipated amendments to the regulations implementing FERPA, the primary statute governing the privacy of student records. The first major update in years, these amendments clarify the "health or safety emergency" exception, set new standards and requirements for outsourcing the handling of student records, significantly restructure the definition of what is considered "personally identifiable information," establish a "reasonableness" standard for the security of student records, and make a number of other substantial revisions and additions to the FERPA regulations. This session will review these amendments and their implications for our campus practices and policies. |
