Tax-Exempt Bond Compliance

of Ropes & Gray LLP will join us to review key issues associated with tax-exempt bond compliance. A recent IRS study found that many organizations do not have adeqquate written procedures and policies for monitoring compliance with federal tax requirements for their tax-exempt bonds. In addition, the new Form 990 includes a schedule that, for the first time, requires detailed information about use of bond proceeds, private use and arbitrage.

This program will address both the equity issues of trust reformation, as well as trust reformation for tax purposes, or the so-called "Bosch" procedure and is ideal for all estate planning pracitioners, trustees or anyone advising trustees. Attendees will learn when to consider reforming a trust, how to go about reforming a trust, and specifically, when the SJC needs to be petitioned for reformation so that the reformation is recognized by the IRS for tax purposes.

REIT Issues in Real Property Leases

and Karen Turk, Goodwin Procter LLP, will lead a presentation on common issues arising when negotiating and drafting leases involving real estate investment trusts.  The presentation will focus on three areas: A brief summary of the REIT rules (asset tests, income tests, etc.); a more detailed discussion of the definition of "rents from real property" for purposes of the REIT rules, with a focus on the types of lease provisions that can raise REIT issues; and a general overview of other REIT diligence issues. Question and answer period to follow.

Tax Treatment of M&A Transaction Costs: Administrative Guidance since INDOPCO
Michael J. Tetrault, Wolf & Company P.C., will be discussing the INDOPCO case, the 2003 final Regulations implementing the INDOPCO decision and what practical guidance we can glean from the first Private Letter Ruling addressing this issue since the adoption of such Regulations. On April 11, 2008 the IRS issued Private letter Ruling 200830009, addressing the issue of which types of M&A transaction costs must be capitalized as opposed to deducted and how to substantiate which expenses may qualify for immediate deduction under the principles of the U.S. Supreme Court's 1992 landmark decision in INDOPCO, Inc. v. Commissioner.

The New Lawyers Section will visit three courts in the beautifully renovated Brooke Courthouse, as follows: 8:45 am - Boston Housing Court (3d floor); 9:30 am - Boston Juvenile Court; and 10:15 am - Boston Municipal Court, Central Division (6th floor). This is a great opportunity to become acquainted with some of the busiest courts in downtown Boston and to meet some of the people that keep the system moving! Directions: 24 New Chardon St., Boston; near the Haymarket T station and within walking distance of North Station and Government Center. Tour will begin at the Housing Court clerk’s office on the 3d floor.

"According to Tip" - A Trip to the Playhouse
Tony-winning actor and one-time TV White Shadow Ken Howard plays role of Speaker of the House Thomas P. O’Neill, the beloved Massachusetts pol for whom “all politics is local.”  Shambling and twinkling as he moves about a set chock with mementos, Howard’s O’Neill tells the story of his journey from North Cambridge to the State House to the Congress, where he served for 34 years under seven presidents. After the show, we will go next door to the Rustic Kitchen and meet with the actor Ken Howard and the playwright Dick Flavin.  Before the show at your option we will go to Jake Wirth’s Restaurant at 6:00 p.m.  If we have over 10 persons attending, the ticket price will be reduced from $49.50 to $39.00, and if over 20 persons, to $35.00.  We are optimistic about exceeding the 20 person number.  At the theatre, indicate you are part of the BBA group and you will receive the discount.
