Sustainability Reporting and Disclosure

Anne Kelly, Director of Governance Programs for CERES, will discuss sustainability reporting and disclosure, which is designed to provide information on an entity's environmental, social, and governance performance and impacts and their initiatives for improving their performance in these areas. Ms. Kelly will discuss the recent study of emerging market companies by the Social Investment Research Analyst Network (SIRAN), a working group of the Social Investment Forum (SIF), and by the independent investment research firm KLD Research & Analytics, Inc., that examined the state of sustainability reporting at 75 emerging market companies, focusing on disclosure of sustainability issues reference to the Global Reporting Initiative (GRI) framework, as well as sustainability goals and benchmarks.

Denny Ellerman, MIT Sloan School of Management, will discuss problems encountered and solutions found in the EU greenhouse gas Emissions Trading Scheme (ETS), including how allocation and distribution of the right to emit carbon dioxide affects market efficiency and environmental effectiveness.

John W. Arata, Carbon Finance Strategies, LLC, will discuss his experience in facilitating emissions trading in the EU ETS/Kyoto regimes, including his views on the role of strategies for risk management.

The Impacts of Material Content Regulations on Exported Products- Case Studies of Companies Failing to Act

Stuart D. Sleeman, President of Sleeman Hanley & DiNitto, and other business associates from companies affected by current legal trends, will provide an overview on the ongoing developments of the European Union Directives and Asian Material Content Regulations:
- End of Life Vehicle (ELV)
- Waste Electronic and Electric Equipment (WEEE) and
- Restrictions on the Use of Certain Hazardous Substances (RoHS)
These regulations are imposing content restrictions/bans on certain materials globally as well as creating recycling obligations for most multinationals. Mr. Sleeman will present an overview of the impact of these regulations in terms of current litigation (both pending and resolved); and why US Companies are failing to correct deficiencies.

Susan L.K. Briggs, Director of Environment, Health and Safety of Textron Inc., will discuss how the US develops its position on environmental management issues and the international negotiation process employed to reach consensus on ISO standards. Specifically, she will discuss:
- a brief overview of the standards currently in development and revision
- the standards which are on the horizon
- the value and benefit of participating in standards development

Michael Meagher, Managing Director of East Asia Law and Government Strategies will discuss the impacts of Chinese environmental laws on foreign businesses.

Mr. Meagher has represented clients doing business in China for over twenty years and is experienced with the requirements of Chinese law as it relates to investment, repatriation of profits and investments, tax policy and environmental regulation.

Richard DiNitto, a founding principal and Managing Partner of Sleeman Hanley & DiNitto, Inc. (SHD) will discuss the regulatory review process in the People’s Republic of China, where local and national regulations have often become burdensome for foreign owned businesses. Specifically, he will:
- present a summary of the steps used to develop the protocols and checklists
- discuss translation and cultural issues
- discuss some of the key aspects of EH&S compliance in PRC
Mr. DiNitto has over 25 years of consulting and business operations experience, with emphasis on the design and implementation of EH&S programs for facility operations. During the past 10 years, Mr. DiNitto has developed a series of regulatory support protocols and audit checklists for more than 30 countries that summarize the key environmental, health and safety laws, regulations, and operational requirements in those countries.

Stuart Sleeman, Material Content Manager for the ESH Department of Sensata Technologies, will discuss how the European WEEE and RoHS directives have affected US multinationals and EU Member countries. He will also discuss what you will need to put in place for and the potential impact of China’s version of the RoHS directive which will become effective on January 1, 2007.

Tracking International Environmental Legislation and Learning About Global Best Practices in EH&S

Halley Moriyama, Vice President of ENSR/AECOM, will discuss his experience with the International Audit Protocol Consortium (IAPC), an industry-based group of multi-national corporations dedicated to promoting global EH&S auditing.

The IAPC, which currently has 58 member companies in North America and 28 in Europe , serves primarily to develop and update country-specific EH&S audit protocols covering thirty countries outside of the US . The organization also serves as a forum for discussing information sharing, benchmarking, and learning about best practices in global EH&S auditing and environmental management.

Renewable Power in Developing Countries

Steven Ferrey, Professor of Law at Suffolk University Law School, will discuss his new book entitled Renewable Power in Developing Countries: Winning the War on Global Warming. The book focuses on new international initiatives in fast-growing developing nations to supplant fossil-fired projects with renewable power and to open up these countries to private investment from the U.S. and elsewhere. Professor Ferrey will share his experience assisting World Bank and United Nations teams working in developing countries on these projects for the past dozen years, most recently in Vietnam and Cambodia.

He will also introduce and explain a new foundation that he is now involved in forming to recycle used laptop computers donated by law firms to schools in regions o f developing nations that are dependent on renewable resources for their power. This project will not only promote learning and Internet access in these under-served schools, but also by deploying low-power-using laptops, reinforce the successful use of renewable energy.

European Union's Clean Up Directive: Environmental Damage
Although almost all the member states already have regimes to address contaminated land and environmental liability, the EU still has legislated in this area. Antonella Capria, Allen & Overy LLP, will lead a discussion on environmental damage in European law.

Topics to be discussed:
- How has the EU's liability scheme addressing contaminated land and traditional environmental liability meshed with the member states schemes?
- Has the EU directive addressed the loss of biodiversity which has so dramatically increased in recent decades?

A Review of the Impacts of EU Directives (WEEE, RoHS and ELV) on Exported Products
Stuart D. Sleeman – President, Sleeman Hanley & DiNitto and Texas Instruments ESH Support will provide an overview on the latest developments of the European Union Directives:

- Waste Electronic and Electric Equipment (WEEE)
- Restrictions on the Use of Certain Hazardous Substances (RoHS)
These regulations are imposing content restrictions/bans on certain materials in Europe as well as creating recycling obligations for the multinationals who manufacture and sell products to the EU Market. Mr. Sleeman will present an overview of the impact of these regulations in terms of marketing in Europe; consequences on non-compliance; and the potential for business to increase/decrease market share as a result of the obligations imposed by the regulations.

Mr. Sleeman will outline the impact these regulations will have on Texas Instruments and the activities that are being performed to meet TI’s obligations including:
