SJC's Ruling in Hanover: Tips on Joint Defense Agreements & the Common Interest Doctrine

Laurence A. Schoen and Steven J. Torres of Mintz, Levin, Cohn, Ferris, Glovsky and Popeo P.C. will discuss best practices for entering and operating within joint defense arrangements. Both Larry and Steve represented a party to the joint defense agreement at issue in the Hanover case and will cover guidance the Court providedwhile touching upon the current state of the law in other jurisdictions concerning joint defense arrangements.

In the case of Hanover Insurance Co. v. Rapo & Jepsen Insurance Services, the Supreme Judicial Court formally recognized what many attorneys believed already existed under Massachusetts Law: that the common interest doctrine allows for the sharing of attorney-client communications and attorney work product between parties who share a common legal interest.

John C. Ottenberg, of Ottenberg & Dunkless LLP, will discuss his experience as a perennial state and federal court receiver and answer questions as to how you might creatively employ a receivership in your troublesome case.

Receivers and similar court appointed fiduciaries can provide valuable functions, in addition to liquidation and dissolution of corporations that benefit the cause of the business litigator. Examples that will be discussed include:

Applying the Attorney-Client Privilege and Work Product

Margaret H. Paget of Sherin and Lodgen LLP, will discuss applying the attorney-client privilege and work product to investigations conducted by counsel focusing on two recent cases of interest:

  • In re Royal AholdNV Securities & ERISA Litigation (D.Md. 9/8/05)
  • In re Grand Jury Subpoena (under seal) (4th Cir., No. 04-4410, 7/18/05)
Following an overview of each case, Ms. Paget will discuss how in the post-Enron world, these decisions will make it more difficult to invoke the work product or attorney-client privilege to protect internal investigations.
