Massachusetts Benefit Corporations: New Opportunities for Entrepreneurship With a Conscience?

Description:

Massachusetts has new benefit corporation legislation (Chapter 156E) that is effective December 1, 2012.  It permits a new form of for-profit business corporation that has among its purposes creating a "general public benefit" but with accountability, and therefore credibility, for doing so.  This new form of corporate entity is intended to provide a pathway toward socially conscious entrepreneurship.  Massachusetts corporate practitioners need to understand the opportunities and pitfalls of this new entity and how it fits with traditional corporate and non-corporate entities.
