Structuring Effective Life Science Collaborations

Thursday, April 11, 2013 12:30 PM to 1:30 PM
Boston Bar Association - 16 Beacon Street, Boston, MA

The process of getting innovative new medicines to patients is a long, complex and expensive undertaking. One of the ironies of the life sciences industry, however, is that small companies -- the ones that don't always have the time, money or global capabilities to develop and launch a new medicine on its own -- are the source of much of the innovation in it.

Strategic partnering, therefore, is important. For emerging companies, it can provide capital, expertise and global reach that could prove challenging to build independently. For established companies, it can provide access to innovation and leverage existing capabilities in drug development and commercialization.

This program reviews the key elements of the life sciences collaboration agreement and practical advice for structuring the agreement in a manner that enables the parties to adapt to changing circumstances necessitated by the inherent risks in drug development, the rapidly changing regulatory, competitive and reimbursement landscapes for pharmaceutical products, and M&A activity in the industry.  Among the elements to be discussed will be program governance and decision-making, due diligence, rights upon termination, and IP rights.
