Executive Compensation and Employee Benefits Issues in M&A Transactions: Practical Tips for Small Firms and Solo-Practitioners

Employee benefit and executive compensation issues in business transactions involve a complex web of laws including the IRC, ERISA, HIPAA and COBRA.  Our panel will provide practical insights into how to conduct due diligence and approach these issues depending on the type of transaction (i.e., asset vs. stock transaction). 

The panel will discuss the primary benefits and executive compensation issues that arise in business transactions, including application of IRC Sections 409A and 280G, how to address 401(k) and other qualified plans and typical covenant provisions that are the subject of negotiations between buyer and seller.  The panelists will share their experiences, as outside and in-house counsel, and offer practical guidance for the most common issues that benefits counsel must address.
